TERMS AND CONDITIONS OF SALE – DIRECT FROM ITALY

- BUSINESS CUSTOMERS ONLY
The Direct From Italy store is intended exclusively for business customers, including retailers, grocery stores, delicatessens, restaurants, pizzerias and other food businesses. It is not intended for personal or household purchases.
By placing an order, you confirm that you are acting for purposes relating to your business and that the information you provide is accurate and complete.
- ACCEPTANCE OF THESE TERMS
By using this website, creating an account or placing an order, you agree to these Terms and Conditions, our Privacy Policy, Refund Policy and Shipping Policy.
If you are placing an order on behalf of a company or another business, you confirm that you have authority to bind that business to these Terms.
- CUSTOMER ACCOUNTS
You are responsible for keeping your login details secure and for all orders placed through your account.
We may request information confirming your business identity. We may refuse, suspend or close an account if information is inaccurate, the account is misused, payment obligations are not met or these Terms are breached.
- PRODUCTS AND PRODUCT INFORMATION
We take reasonable care to ensure that product descriptions, photographs, pack sizes, ingredients, prices and other information are accurate.
Manufacturers may change packaging, appearance, ingredients or specifications without notice. Product images are for illustration and the delivered packaging may differ.
Customers are responsible for checking product labels, ingredients, allergens, storage instructions and suitability before sale or use.
The Direct From Italy range does not include chilled or frozen products unless we expressly confirm otherwise in writing.
- PRODUCT AVAILABILITY
All products are subject to availability from the relevant manufacturer or supplier in Italy.
If a product becomes unavailable after an order is placed, we may offer a suitable alternative, remove the unavailable product and issue the appropriate refund, or cancel the affected part of the order.
We may limit quantities or withdraw products where reasonably necessary.
- ORDERS AND CONTRACT FORMATION
Placing an order constitutes an offer to purchase the selected goods. An order is not accepted until Itabites confirms acceptance and payment has been successfully received.
We may refuse, amend or cancel an order where:
- Products are unavailable;
- Pricing or product information is incorrect;
- Payment cannot be processed;
- The delivery address or requested delivery cannot be serviced;
- The minimum order requirement has not been met; or
- We reasonably believe the order cannot be fulfilled.
If we cancel all or part of an order after receiving payment, we will refund the amount relating to the goods we cannot supply.
- MINIMUM ORDER
The minimum order value for the Direct From Italy service is £2,000, including any applicable VAT.
We may reject or cancel an order that does not meet this minimum value.
Orders from the Direct From Italy store must not be mixed with UK-stock orders. Each service requires a separate order and checkout.
- PRICES AND VAT
Prices are those displayed when the order is placed and may change without notice.
Any applicable VAT will be charged in accordance with UK law and displayed at checkout or on the invoice. The £2,000 minimum order value includes any applicable VAT.
If we discover a material pricing error before accepting an order, we may correct the price and ask whether you wish to continue, or cancel the affected product and refund the relevant payment.
- PAYMENT
Direct From Italy orders must be paid in full before processing and scheduling begin.
Payment must be made using one of the payment methods available at checkout unless different arrangements have been expressly agreed by Itabites in writing.
You confirm that you are authorised to use the payment method provided and that your billing information is correct.
An order will not enter the delivery schedule until cleared payment has been received.
- ORDER CUT-OFF TIMES AND DELIVERY SCHEDULE
Cut-off times are based on United Kingdom time.
Orders fully paid by Monday at 9:00 am are scheduled for delivery during the following week.
Orders fully paid after Monday’s cut-off, but by Friday at 9:00 am, are normally scheduled for delivery on Thursday or Friday of the following week.
Payments received after Friday at 9:00 am will normally enter the next available ordering cycle.
Estimated delivery is approximately 7–10 working days after order acceptance and cleared payment. All delivery dates are estimates unless expressly guaranteed by Itabites in writing.
- DELIVERY AREA AND CHARGES
We provide free delivery to business addresses located within the M25 area, subject to the £2,000 minimum order requirement.
For delivery outside the M25, you must contact Itabites before placing the order. We will confirm whether delivery is available and advise you of any delivery charge.
An order outside the M25 is not accepted for delivery until the arrangements and any additional charge have been confirmed.
- DELIVERY DAYS AND POSSIBLE DELAYS
Deliveries are made Monday to Friday only. We do not deliver on Saturdays, Sundays or UK bank holidays.
Delivery schedules may change because of product availability, manufacturing delays, transport schedules, customs procedures, border controls, carrier delays, traffic, severe weather or other circumstances outside our reasonable control.
We will make reasonable efforts to notify you if a significant delay becomes known.
- RECEIVING THE DELIVERY
The customer must provide a complete and accurate business delivery address and ensure that suitable access is available.
Someone authorised to receive and inspect the goods must be present at the agreed address and time.
If delivery cannot be completed because nobody is available, access is unsuitable or the information provided is incorrect, an additional delivery, storage or redelivery charge may apply.
Risk in the goods passes to the customer when delivery is completed.
- CANCELLATIONS AND ORDER CHANGES
Direct From Italy products may be ordered or reserved specifically for the customer.
Once an order has been accepted, paid, submitted to the supplier or prepared for transport, cancellation or amendment may not be possible.
Please contact us immediately if you wish to request a change. Any change or cancellation is subject to our written approval and may be subject to costs already incurred.
- INSPECTION, SHORTAGES AND DAMAGE
Customers should inspect the delivery as soon as reasonably possible.
Visible damage, shortages, incorrect goods or delivery errors should be reported to Itabites promptly, preferably within 24 hours of delivery.
Please retain the goods, outer packaging, labels and delivery documents and provide photographs or other reasonable evidence if requested.
Goods must not be returned or disposed of without our instructions.
- RETURNS, REPLACEMENTS AND REFUNDS
Because food products are involved, we do not normally accept returns because a customer has changed their mind.
Returns may be accepted where goods are damaged, defective, incorrectly supplied or materially different from the accepted order.
All returns require prior approval from Itabites. Goods must be kept in their original packaging and stored correctly until collection or further instructions are provided.
Depending on the circumstances, we may replace the affected goods, issue a credit or provide a refund. Approved refunds will normally be returned using the original payment method.
Nothing in these Terms excludes any rights that cannot lawfully be excluded.
- STORAGE, FOOD SAFETY AND RESALE
Products supplied by Itabites will comply with applicable UK food requirements at the time of supply.
After delivery, the customer is responsible for correct storage, stock rotation, handling, preparation, display and resale in accordance with product instructions and applicable food-safety requirements.
The customer is responsible for providing accurate allergen and product information to its own customers.
- OWNERSHIP OF GOODS
Ownership of the goods remains with Itabites until full payment for the relevant order has been received.
Risk passes to the customer upon delivery.
- EVENTS OUTSIDE OUR CONTROL
We are not responsible for a failure or delay caused by circumstances outside our reasonable control, including supplier failure, transport disruption, customs or border delays, industrial action, severe weather, natural disasters, government action, war, civil disturbance, epidemic, pandemic or failure of essential communications or utilities.
We will take reasonable steps to reduce the effect of such circumstances.
- LIMITATION OF LIABILITY
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or any liability that cannot lawfully be limited or excluded.
Subject to the above, Itabites will not be liable for indirect or consequential loss, loss of profit, revenue, business, contracts, goodwill or opportunity.
Our total liability relating to an order will not exceed the amount paid for the goods giving rise to the claim, except where the law does not permit such a limitation.
- INTELLECTUAL PROPERTY
The Itabites name, branding, website design, written content, graphics and other website materials are owned by or licensed to Itabites unless stated otherwise.
You may use the website only for legitimate business purchasing purposes. You must not copy, reproduce, distribute or commercially exploit website content without prior written permission.
Third-party trademarks and product images remain the property of their respective owners.
- WEBSITE AVAILABILITY AND THIRD-PARTY SERVICES
We take reasonable care to keep the website secure, accurate and available, but we cannot guarantee uninterrupted or error-free operation.
The website is powered by Shopify and may use third-party payment, delivery or technology services. Those providers may apply their own terms and privacy practices.
Sales made through the store are contracts between the customer and Itabites, not Shopify.
- PRIVACY
Personal information is processed in accordance with our Privacy Policy and applicable data-protection law.
Information may be processed by Shopify, payment providers, delivery providers and other service providers where necessary to operate the website, process orders and complete deliveries.
- SUSPENSION AND TERMINATION
We may suspend or terminate access to the website or an account where we reasonably believe these Terms have been breached, payment obligations have not been met, false information has been supplied or the website has been misused.
Termination does not affect rights, obligations or amounts that arose before termination.
- SEVERABILITY AND WAIVER
If any provision is found to be invalid or unenforceable, the remaining provisions will continue in effect.
If we delay enforcing a right, that does not mean that we have waived that right.
- ENTIRE AGREEMENT
These Terms, together with the order confirmation and policies referred to within them, form the agreement between Itabites and the customer unless different terms are expressly agreed in writing.
- CHANGES TO THESE TERMS
We may update these Terms from time to time. The latest version will be published on the Direct From Italy website.
The Terms in force when an order is accepted will normally apply to that order.
- GOVERNING LAW AND JURISDICTION
These Terms and any dispute or claim arising from them are governed by the laws of England and Wales.
The courts of England and Wales will have jurisdiction over any dispute or claim connected with these Terms.
